By accessing rankoptim.com or engaging RankOptim's marketing services, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you ("Client") and RankOptim ("Agency"), a marketing agency based in Surat, Gujarat, India.
These terms apply to all visitors, users, and clients. If you are entering into these terms on behalf of a company, you represent that you have the authority to bind that company.
RankOptim provides digital marketing services for jewelry brands, including but not limited to: website design and development, search engine optimisation (SEO), paid advertising management (Meta, Google), social media management, content creation, email marketing, WhatsApp marketing, and AI automation.
Specific services, deliverables, timelines, and fees are outlined in a separate Service Agreement or Statement of Work provided to each client. These Terms of Service apply in conjunction with, and supplement, any such agreement.
RankOptim reserves the right to modify, suspend or discontinue any service offering with reasonable notice. Changes to your specific contracted services require mutual agreement in writing.
Service fees are outlined in your Service Agreement. Monthly retainer fees are due in advance on the 1st of each month. Project fees follow the payment schedule in your agreement.
Payments not received within 15 days of the due date may result in a pause of services. Payments not received within 30 days may result in termination of services. Late payments incur interest at 2% per month on the outstanding balance.
All fees are exclusive of applicable taxes. GST at the prevailing rate will be charged on all services. Clients are responsible for any withholding taxes as applicable under Indian tax law.
Advertising budgets (amounts paid to Meta, Google, or other platforms) are separate from RankOptim's management fees. Clients are responsible for funding their ad accounts directly.
Upon full payment, all creative assets, website designs, and marketing materials produced specifically for you become your property. RankOptim retains the right to showcase this work in our portfolio.
Our methodologies, frameworks, templates, tools, and systems remain the exclusive property of RankOptim. Clients may not reproduce, distribute, or sell our proprietary systems without written permission.
Clients are responsible for ensuring they have proper rights to any content, images, or materials they provide to RankOptim for use in their marketing. RankOptim is not liable for intellectual property infringement arising from client-provided materials.
Both parties agree to keep confidential all non-public information shared during the course of the engagement, including business strategies, financial data, customer lists, and trade secrets. This obligation survives the termination of the service agreement for a period of 3 years.
RankOptim will not disclose your campaign performance data, strategies, or business information to any third party without your written consent, except as required by law.
To the maximum extent permitted by law, RankOptim's liability for any claim arising from or related to our services shall not exceed the total fees paid by you in the 3 months preceding the claim.
RankOptim shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages.
RankOptim is not responsible for changes in platform algorithms, ad policies, or market conditions that affect campaign performance.
Either party may terminate the service engagement with 30 days written notice. During the notice period, services will continue and fees remain due.
RankOptim may terminate services immediately, without notice, in cases of: non-payment exceeding 30 days, breach of these terms, or engagement in illegal or harmful activities.
Upon termination, RankOptim will provide all completed work and transfer all assets owned by the client within 14 days, subject to settlement of outstanding fees.
While RankOptim consistently delivers strong results for jewelry brands, we cannot guarantee specific outcomes such as particular ROAS figures, revenue targets, follower counts, or search rankings. Results depend on factors including your product quality, pricing, market conditions, and budget levels.
Case studies and testimonials on our website represent real results achieved by specific clients under specific conditions and are not guarantees of similar results for all clients.
These terms are governed by the laws of India. Any disputes arising from these terms or the services provided shall be subject to the exclusive jurisdiction of the courts in Surat, Gujarat, India. Both parties agree to first attempt to resolve disputes through good-faith negotiation before resorting to legal proceedings.
RankOptim reserves the right to modify these Terms of Service at any time. We will provide 30 days notice of material changes via email to registered clients. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
